Spin-Offs and Divestitures A company considering a spin-off or divestiture of a subsidiary, division, or other part of its business must consider whether the value it is receiving is adequate and fair and may want some assistance in structuring the transaction. Mergers Some technology companies consolidate in a transaction commonly referred to as a "merger of equals." Management of the two companies may be able to resolve most issues (e.g. post-transaction management structure, combined product line, etc.) without an investment banker, but cannot agree on relative valuation.
